I don't see one word about a "board shakeup" in the article.

 

By definition "named officer" means the corporation's CEO and the four most highly compensated executive officers other than the CEO, so all we can say with certainty about Binder is that he was not among the four highest paid officers in the company. Binder wasn't a board member regardless, nor were any of the other named officers other than FDR.

Appreciate this link and especially the follow-up comments. From my reading of this actual story and some added research, here is my take. It seems that the soon-to-be-retiring Board Chairman is now age 82 and has been on the NCL Board since 2005. It does not seem like any type of major management "shake-up". Just a normal "transition" as a Board member gets older and maybe is ready to "move on" with less worries/responsibilities. Plus, any major corporation must be planning and preparing for the future, seeking to have more Board diversity, etc. Seems fairly clear and simple to me. Not sure the headline of "Board Shake Up" fits and/or is totally accurate.
